The controller of companies is in charge of the Companies’ Control Department, i.e.  the registration and licensing of companies, as well as in charge of the supervision of the proper implementation of the provision of companies law on all the companies registered in Jordan which exceeds one hundred thousand companies.

This is a legal entity, that aims at achieving financial stability through its role in protecting depositors, encouraging savings, deepening confidence in the banking system, dealing with banks' failure, and undertaking financial burdens that might result from reimbursing depositors instead of being undertaken by the treasury at the expense of tax payers.  Members of its board of directors include the Governor of the Central Bank, Secretary General of the Ministry of Finance, and a representative of the Securities Exchange Commission, in addition to representatives of the private sector.

This Committee is responsible for matters relating to granting certified accounting licenses, and preparing curricula and examinations and supervising them, and announcing their results, and making recommendations to the Higher Committee of the Certified Public Accountants Profession.

The task of the Committee was to prepare the basic principles for corporate governance  rules to the Small & Medium Enterprises (SME’s) in Jordan based on best international practices.

The task of the Committee is to lay down special instructions for choosing and qualifying Insolvency Practitioners of companies in view of the importance of Insolvency and its significant impact on companies and the economy in general.

The task of the Committee was to draft the law and the related rules  for the  insolvency and restructuring of companies with assistance and cooperation of the and (IFC). Members of the Committee included a group of specialized Jordanian judges, lawyers, and liquidators.

With an experience that exceeds 19 years I am able to plead before all Jordanian courts with a good experience in civil, commercial, corporate, and administrative law cases. Throughout my legal practice I provided consultation services  to local and international companies in the fields of construction, real estate development, civil claims, intellectual property rights, and investment and corporate law. I was also appointed to arbitration panels between individuals and companies.

Jordan Industrial Estates Company (JIEC) is responsible for managing, marketing and developing industrial estates in Jordan. Striving to promote and encourage the establishment of industrial investment projects within its industrial estates.

JIEC today is one of the most flourishing industrial estates developers in Jordan through adopting the concept of modern industrial estates and ensuring the provision of world-class infrastructure and services.

 I was appointed to this position to oversee the teaching of the copyright course at the Faculty of Law in the University as a result of an agreement between the UNESCO and the University of Jordan. I also supervised the establishment of a Master’s program by the World Intellectual Property Organization (WIPO) to teach Intellectual Property Rights issues.

  • Key qualifications are in general commercial practice specializing mainly in corporate contracts and issues such as mergers and acquisitions, due diligence reports, international trade matters, foreign investment, franchise and distributorship agreements, labor and intellectual property issues.

 

  • Advised foreign and local corporations on their day to day operations, and has also advised individual and corporate clients on a wide range of Jordanian Laws including the Commercial Law, Investments Law, Companies Law, Commercial Agents and Middlemen Law, Banking Law, Labor and Social Security Laws.

 

  • Serving as the General Controller of Companies at the Ministry of Trade and Industry for two years has added to my legal experience in the field of corporate law.

 

  • Good legal experience in the protection and enforcement of intellectual property rights and advises on patents, trademarks, copyright, know-how, database rights and data protection as well as other intellectual property matters.

 

 

 Key Experience:

 

  • Advising Manazel International/Jordan, large real estate company, on the establishment of the company including drafting the article of association and the memorandum of the company all the legal issues to project in Jordan. I also advised them on obtaining the necessary licenses and helped with the tax legal issues at the tax department.

 

  • Supervised 120 liquidation cases all through my career as the Controller of Companies at the Jordanian Government.

 

  • Supervised merger transactions of (6) public shareholding companies and (40) limited liability companies.

 

  • Supervised the implementation of Corporate Governance requirements on Al Istiklal Hospital PLC and the Duty Free PLC with the cooperation of the IFC.

 

  • Advising large corporations like Microsoft, Pearson Education and Research In Motion (RIM) on the implementation of their copyright issues in Jordan.

 

  •  Represented Kodak Eastman in their arbitration case against Salbishian Co. for the termination of their distribution agreement in Jordan.

 

  • Advising  Research In Motion (RIM), a global leader in mobile phones industry with regards to providing and marketing their services in Jordan; the legal requirements; the licenses and a full picture advice on each type of services to be provided.

 

  • Supervised the debt resolution process between the Middle East Complex for Eng. Electronics and  Heavy Industries PLC and its bank debtors which included the  restructuring and reorganization of the company.

 

  • Chairman to a restructuring committee formed by the Insurance Commission in Jordan to restructure an insurance company with a capital of 15,000,000 US Dollar.

 

  • I was involved in litigation of different cases concerning banking issues such as Letters of Guarantee and Letters of Credit. One of the cases that I have litigated was a case worth 62,000,000 Euro for the payment of letter of guarantee to contracting company ended to our benefit.

 

  • Provided several advisory and legal opinions to our clients concerning different types of banking matters.

The Ministry of Justice was established in 1921, assuming different names, starting with Justice Advisor, and ending with Ministry of Justice, according to Regulation no. (56) for the year 1971. The Ministry was entrusted with the management and supervision of courts of law, and providing them with judges and staff. It is governed by Regulation no. (50) for the year 1989, issued on the basis of Article 120 of the Constitution. Among the duties entrusted with this Ministry include facilitating work at courts of law and providing methods, systems and technologies, as well as assuring adherence to the provisions of laws and regulations applied in courts of law through the Directorate of Inspection. Regular courts are found throughout the Kingdom, numbering 48, with 429 judges, and 1842 administrators.
